As per the National Stock Exchange (NSX) Announcement date 31 May 2022, Endless Solar Corporation Limited (Company) announced its intent to raise capital and presented in the detail immediately below;

To complete the funding of the cash component of the project ESC (based on EES Budgets) has resolved to seek up to $1 million through the issue of 10,000,000 ESCLV shares at 10 cents per share. The minimum application is 200,000 shares & there are restrictions on the number of small investors that can apply. There are no restrictions on the number of exempt investors applying apart from the total amount of shares available.

To progress this initiative and to further secure operational funds to expedite the critical stages of commercialisation, Endless Cool Solar Ltd will seek to raise capital via public, private, sophisticated and institutional investors by way of Expression of Interest.

The Expression of Interest process and offer will soon be promoted to this order and by quantum of these share parcel sizes;

• 200,000 Shares (limited to five parcels)

• 500,000 Shares

• 1,000,000 Shares

• 2,500,00 Shares

• 5,000,000 Shares

• 10,000,000 Shares

As per the statement and announcement, only 10,000,000 shares will be available at the Raise A price of $0.10 (10 cents) per share. The currency is AUD (Australian Dollars).

Following the allocation of the 10,000,000 shares, and in the event of over subscription, Endless Cool Solar Limited will consider offering additional shares, at a price to be decided, to exhaust investor interest should it see fit and where the value of the raise is in line with the interests of the Company.

The shares will soon be advertised through both direct and indirect means, with expressions of interest being collected through the Endless Solar Corporation Ltd website (www.endlesssolarcorp.com.au) and via the Expression of Interest Online Portal. In this round, only investors who qualify to meet ‘exempt-participant’ status, will be considered.
